Customer Terms of Service Agreement

This Customer Terms of Service ("Agreement") is entered into by and between Project Stories, LLC ("Project Stories") and the entity or person placing an order for or accessing any Services ("Customer" or "you"). If you are accessing or using the Services on behalf of your company, you represent that you are authorized to accept this Agreement on its behalf, and all references to "you" or "Customer" refer to your company.
The Effective Date of this Agreement is the earlier of (a) Customer's first access to the Services through any online order, registration, or checkout process or (b) the effective date of the first order form referencing this Agreement.
BY ACCEPTING THIS AGREEMENT OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
1. Definitions
- "Agreement" means this Customer Terms of Service, any Order Forms, and any policies or documents referenced herein.
- "Customer Data" means any data in electronic form provided by Customer to Project Stories.
- "Services" means the services provided by Project Stories to Customer under this Agreement, as described in the applicable Order Form.
- "Order Form" means the ordering documents executed by Customer that reference this Agreement.
- "Subscription Term" means the period of time during which Customer is entitled to use the Services, as set forth in the applicable Order Form.
- "Fees" means the fees payable for the Services under the Order Form.
2. Services
2.1 Access to Services
Subject to this Agreement and the applicable Order Form, Project Stories grants Customer a limited, non-transferable, non-exclusive right to access and use the Services during the Subscription Term.
2.2 Ownership
All rights, title, and interest in and to the Services, including any improvements or modifications, remain the exclusive property of Project Stories and its licensors. No rights are granted to Customer other than as expressly set forth herein.
2.3 Third-Party Products
The Services may interoperate with third-party products or services. Project Stories is not responsible for and does not warrant or endorse any third-party products.
3. Customer Data
3.1 Ownership
Customer retains all rights to Customer Data. Project Stories shall not use Customer Data except to provide and improve the Services or as otherwise permitted in this Agreement.
3.2 License to Project Stories
Customer grants Project Stories a non-exclusive, worldwide, royalty-free license to process and use Customer Data solely for providing the Services.
3.3 Security
Project Stories will maintain commercially reasonable safeguards to protect Customer Data against unauthorized access, use, or disclosure.
4. Fees & Payment
4.1 Fees
Customer shall pay all applicable Fees as set forth in the Order Form.
4.2 Payment Terms
Unless otherwise specified, all Fees are due in advance and payable in U.S. dollars.
4.3 Refunds
Refunds may only be issued if work has not started. Once work begins, all payments are non-refundable.
4.4 Late Payment
Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.
5. Term & Termination
5.1 Term
This Agreement begins on the Effective Date and continues until terminated in accordance with this Section.
5.2 Termination for Cause
Either party may terminate this Agreement if the other party materially breaches its terms and fails to cure such breach within thirty (30) days of written notice.
5.3 Effect of Termination
Upon termination, Customer's access to the Services will cease immediately. Termination does not relieve Customer of payment obligations incurred prior to termination.
6. Warranties & Disclaimers
6.1 Mutual Warranty
Each party represents that it has the authority to enter into this Agreement.
6.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, ALL SERVICES ARE PROVIDED "AS IS" AND PROJECT STORIES DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. PROJECT STORIES' TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE THREE (3) MONTHS PRIOR TO THE CLAIM.
8. Indemnification
Customer agrees to indemnify and hold harmless Project Stories from any claims, damages, or expenses arising out of Customer's misuse of the Services or violation of this Agreement.
9. Governing Law & Disputes
This Agreement shall be governed by and construed under the laws of the State of Kentucky, United States. Any disputes will be resolved exclusively in the courts of Jefferson County, Kentucky.
10. General
10.1 Assignment
Customer may not assign this Agreement without Project Stories' prior written consent.
10.2 Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
10.3 Amendments
Project Stories may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance.
